Anton is a business and securities lawyer whose practice focuses on corporate and commercial law, with an emphasis on private mergers and acquisitions, corporate finance, corporate governance, and securities law. Anton is committed to providing clients with practical, timely, and cost-effective legal advice, while also ensuring clients’ interests are protected throughout the different stages and types of transactions.

  • Represented a diverse range of public and private companies in asset and share purchase transactions, including deals ranging from $500K to $40M. Notable transactions include the acquisition of Iconic Minerals Ltd. by Nevada Lithium Resources Inc. through a plan of arrangement, and the acquisition of Pelican AI by KOAT Capital.
  • Advised multiple companies on a range of financing transactions, including non-brokered private placements, commercial lending deals, and public offerings. Highlights include an $11.5M bought deal offering, private placements raising between $500K and $10M, and several going-public transactions.
  • Advised numerous clients in the technology, mining, pharmaceutical, and cannabis industries on a range of corporate and commercial matters, continuous disclosure obligations, securities laws compliance issues, and corporate governance.
  • Assisted multiple private companies with corporate reorganizations, including tax-driven reorganizations.
  • Advised entrepreneurs on business formation and complex reorganizations.
  • Supported multiple public companies with annual general and special shareholder meetings by drafting various meeting materials and conducting the meetings in the role of corporate secretary

Academic Background

Anton received his Juris Doctor (J.D.) from Queen’s University, where he also assisted start-ups, entrepreneurs, and not-for-profit organizations on various corporate and commercial matters at the Queen’s Business Law Clinic and advised an international beneficiary on competition policy at the TradeLab International Economic Law Clinic. During law school, Anton spent a summer abroad at Herstmonceux Castle, East Sussex, U.K., earning a certificate in International Business Law at the Bader International Study Centre.

Before law school, Anton received his Bachelor of Arts from York University.

Anton enjoys spending his free time playing soccer, planning travel adventures, spending time outdoors, or refreshing his wrestling skills.

Irina is a business lawyer specializing in corporate and securities law, with a focus on corporate finance, mergers and acquisitions, and regulatory compliance. She provides strategic guidance on organizational planning, capital markets transactions, and corporate governance. Irina advises on contract negotiation and compliance matters, supporting both established companies and startups in navigating complex legal frameworks. Her corporate finance experience includes guiding issuers through financial transactions, from raising seed capital to public and private offerings of debt and equity securities. In her M&A practice, Irina represents buyers, sellers, and targets in sophisticated transactions, including takeovers, reverse mergers, and corporate reorganizations.

  • Acted for the underwriters, led by Canaccord Genuity Corp., in the $120M bought deal public offering of units of MedMen Enterprises Inc.
  • Acted for the target, EnviroGold Global (Can) Ltd. in the acquisition of Range Energy Resources Inc. (CNSX : RGO.X) in a reverse merger transaction, non-brokered private placement for aggregate gross proceeds of approximately $4.6M and subsequent listing of the resulting issuer, EnviroGold Global Limited (CSE:NVRO) on the Canadian Securities Exchange.
  • Acted for the acquirer, Xigem Technologies Corporation (CSE:XIGM; FSE:2C1), in the $32M acquisition of assets of Cylix Data Group.
  • Acted for the target, Impact Housing Corporation, a Panamanian based real estate company, in a share exchange transaction between Yubba Capital Corp. (TSXV: YUB.P) and the parent company of the target, concurrent financing of convertible notes n approximately $6M and subsequent listing of the resulting issuer, Impact Development Group Inc. (TSXV: IMPT.V) on the TSX Venture.
  • Assisted numerous public and private companies by providing guidance on corporate and commercial matters, continuous disclosure obligations, securities law compliance, and corporate governance.

Academic Background:

Irina received her Master of Laws from the University of Toronto in 2019, where she deepened her expertise in corporate and commercial law. Before that, she earned her Bachelor of Laws (LL.B.) from Ural State University, Institute of Prosecutor’s Office, in Russia, focusing on legal principles and prosecutorial studies.

Throughout her academic journey, Irina was the recipient of various awards and scholarships, recognizing her dedication and academic excellence. Additionally, she completed a certificate in International Trade Management from St. Clair College in Windsor, further enhancing her knowledge of global commerce and trade practices.  

Interests:

Irina enjoys running, weightlifting, and exploring Canada’s great outdoors through activities such as hiking and surfing. Having traveled to 27 countries, she is eager to continue her adventures. In her downtime, she cherishes family time and reading.

Representative Work:

  • Representing plaintiffs in shareholder disputes, including those seeking oppression remedies.
  • Assisted corporations and individuals with a broad range of tax matters, including complex audits and appeals related to director’s liability, shareholder benefits, GST/HST reassessments, RRSP advantage tax assessments, and net worth assessments. He also prepared taxpayer relief applications, and assisted with various small business tax issues, and residency related tax disputes.
  • Represented numerous clients in cases involving wrongful termination, constructive dismissal, workplace harassment, and related employment issues. 

Academic Background:

David earned his Juris Doctor (J.D.) from Queen’s University, where he contributed to the Queen’s Business Law Clinic by assisting start-ups, small businesses, and non-profits with corporate and commercial matters. He also conducted research in legal technology, co-creating algorithms to predict reasonable notice entitlements and worker classification assessments, and developing a generative AI tool for legal research. 

His work has been adopted by a global compliance company to assess misclassification risks, and he has published academic papers in the Queen’s Law Journal and the International Conference on Machine Learning, the leading academic conference in machine learning. 

During law school, David participated in a summer program abroad at Herstmonceux Castle in East Sussex, U.K., where he earned a certificate in International Business Law from the Bader International Study Centre. Prior, he earned a Bachelor of Science from McMaster University.

Outside the office, David is an avid golfer and enjoys producing music. He is also passionate about travel, having visited over 15 countries.
